1. Introduction

Welcome to Maui Business Podcast ("we," "us," or "our"). By using our services, you ("Client," "you," or "your") agree to these Terms of Service ("Agreement"). This Agreement defines the scope, responsibilities, and expectations for both parties to ensure a successful collaboration.

2. Services Provided

Maui Business Podcast agrees to provide the following services:

Co-op Community Mailer Program: A shared marketing mailer featuring up to 14 businesses (no direct competitors), designed to drive engagement and attract customers to your business.

Design and Layout: Professional design and branding of your advertisement on a 9x12-inch high-quality postcard mailer.

Offer Creation: Assistance in developing a compelling promotional offer (if needed), with optimization for maximum impact.

Printing and Distribution: Full management of printing, quality control, and distribution via the U.S. Postal Service using premium cardstock.

Digital Advertising: Complimentary online promotional support, including social media marketing and engagement strategies linked to the mailer campaign.

3. Payment Terms

Fees:

Month 1: $750

Month 2: $750

Month 3: $750

Month 4: FreePayment

Schedule: Payment is due upon signing this Agreement and at the beginning of each subsequent month.

Late Payments: Payments over 7 days late will incur a 5% late fee and may result in delays or suspension of services.

Refunds: No refunds will be provided for services already rendered or for early termination of the Agreement.

4. Termination

Either party may terminate this Agreement under the following conditions:

Termination by Client: You may terminate this Agreement with 30 days’ written notice; however, no refunds will be provided for services already completed.

Termination by Maui Business Podcast: We reserve the right to terminate this Agreement if you:

* Fail to make timely payments.

* Do not provide required materials or approvals within the agreed timeframe.

* Engage in any conduct that damages our reputation or that of other participating businesses.

* Effect of Termination: You remain responsible for all payments due up to the date of termination.

5. Limitation of Liability

Maui Business Podcast is not responsible for:

Any indirect, incidental, or consequential damages related to our services.

The effectiveness of your individual marketing results (success depends on various factors).

Any delays or disruptions caused by third-party providers, postal services, or force majeure events (e.g., natural disasters).

Our total liability for any claim shall not exceed the total amount paid by you for the services.

6. Intellectual Property

All designs, layouts, and advertising content created by Maui Business Podcast remain our intellectual property unless otherwise agreed in writing. You may use these materials solely for the purposes of the campaign.

7. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Hawaii. Any disputes shall be resolved through negotiation, mediation, or legal proceedings.

8. Changes to These Terms

We may update these Terms from time to time. Your continued use of our services after changes are made constitutes your acceptance of the revised terms.
